Welcome to our Website and mobile applications (collectively, the “Website”), operated by Planona, LLC, its affiliates, and subsidiaries (collectively, “Planona,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of the Website, your account, and any products or services offered. By using our Website or Services, you agree to these Terms. If you do not accept these Terms, you must not use the Website or Services. Users under 18 years of age are prohibited from using our Website or Services.

1. Introduction

These Terms govern your access to and use of the Website, your account, any products or services offered (including registries, personalized Website features, Vendor Marketplace listings, invitations, digital and paper stationery, planning tools, forums, and inspirational content), and any other features where these Terms are referenced (collectively, the “Services”). Planona reserves the right to modify or update these Terms at any time at its discretion. Revised Terms will be posted on the Website, and continued use constitutes acceptance of any changes.

Who these Terms apply to

These Terms apply to all Website visitors and users, including registered users, guests, vendors listing products or services in the Vendor Marketplace, and our licensors. Certain sections may apply differently depending on your role.

Arbitration & waiver of jury/class actions

These Terms include a binding arbitration agreement. Any disputes between you and Planona will be resolved through individual arbitration rather than court, jury, or class/collective actions, with limited exceptions. Unless you opt out following the procedure described below, you are agreeing to be bound by this arbitration requirement.

Privacy Policy

Your use of the Website and Services is also governed by our Privacy Policy, which outlines how we collect, store, and process Personal Information. By providing any personal data (yours or others’), you confirm that you have the necessary consent to share such information with Planona. Capitalized terms not defined here have the meaning given in the Privacy Policy.

2. User Content and Submissions

When you post, upload, share, transmit, or submit information, materials, or other content through our Website or Services (“User Submissions”), you represent that such submissions are accurate, truthful, and current. This includes text, images, videos, music, software, ideas, and other creative material. You are responsible for maintaining and updating your User Submissions where necessary.

Account registration

Some features require a Planona account. When registering, you agree to provide accurate, complete, and current information about yourself and others, such as your partner, guests, or your business, if applicable.

Ownership and licenses

All Content on the Website—including text, design, graphics, images, audio, video, software, and User Submissions—is owned by Planona or its content providers and is protected by copyright, trademark, and other intellectual property laws. You may not use, copy, reproduce, distribute, or create derivative works without prior written consent, except for personal, non-commercial printing that includes copyright notices.

User submissions license

  • Vendors & creative professionals: You retain ownership of your submissions but grant Planona a worldwide, royalty-free, perpetual, sublicensable license to use, display, modify, reproduce, adapt, publish, and distribute such submissions to promote the Vendor Marketplace, inspirational content, or related Services. Any other use requires your written consent.
  • All other users: You grant Planona a similar worldwide, royalty-free, perpetual license to use your submissions for any purpose connected to the Services.
  • Limited audience submissions: If you submit content intended for a restricted audience, Planona and those recipients may access and use your submission as intended, but your restrictions will apply as communicated.

User responsibilities

You are fully responsible for your submissions and the consequences of sharing them. You may not post content that is illegal, infringing, obscene, defamatory, threatening, harmful, or otherwise objectionable. This includes spam, viruses, malware, impersonation, unauthorized sharing of personal information, or other violations of applicable laws. User-generated reviews of vendors or products are governed by separate Terms and Conditions, incorporated herein by reference.

3. Website and Services Use

Limited license

Planona grants you a non-exclusive, revocable license to access and use the Website and Services for lawful purposes, subject to these Terms. Content remains the property of its owner and may not be used in violation of intellectual property rights or applicable laws.

Prohibited activities

  • Use Content, Services, or the Website for competitive purposes or commercial exploitation.
  • Access or interfere with restricted areas or attempt to bypass security measures.
  • Introduce malware, viruses, or harmful code.
  • Use scraping or automated tools to extract data without permission.
  • Overload or disrupt Planona’s systems.

Account security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify Planona immediately if you suspect unauthorized access. Authorized agents acting on your behalf must provide verification upon request.

Purchases & Planona Stored Value

Purchasing gifts on the Website creates “Planona Stored Value,” which your recipient may redeem for products at the price paid, regardless of current pricing. Stored Value never expires but cannot be converted to cash or applied retroactively. Promotional codes, Vendor Credits, and Vendor Plans are subject to their respective terms. Planona reserves the right to cancel or refuse orders at its discretion.

Planning tools

Registered users may access planning tools (guest lists, seating charts, budget trackers, checklists, and personal websites) for personal, non-commercial use. Uploading guest information requires consent, and you must comply with applicable communication laws, including TCPA regulations for messaging.

Vendor Marketplace

Vendors may maintain profiles, communicate through the platform, and manage Vendor Networks. Vendors are responsible for accurate listings, compliance with all applicable laws, and may not solicit users outside the platform in ways that circumvent Services. Planona does not endorse vendors or guarantee transactions.

AI & technology partners

Planona may use AI and third-party services to provide features. AI outputs may be inaccurate and should be independently verified. Submissions processed via AI may be shared with service providers (e.g., AWS in the U.S.) and are subject to our Privacy Policy.

4. Equal Treatment Policy

Planona is committed to ensuring that all individuals—whether couples, guests, vendors, visitors, users, or any other participants (“Protected Groups”)—are treated fairly. Discrimination based on race, ethnicity, color, religion, sex, national origin, ancestry, disability, physical traits, marital or family status, pregnancy, sexual orientation, gender identity or expression, political affiliation, veteran status, citizenship, age, or any other attribute protected under applicable law (“Protected Attributes”) is strictly prohibited.

Prohibited actions include, but are not limited to:

  • Refusing to provide or receive products, services, or access from someone based on a Protected Attribute;
  • Publishing or submitting discriminatory content via the Planona platform or services;
  • Imposing different terms, conditions, or pricing on individuals because of a Protected Attribute; or
  • Any behavior that inappropriately considers a Protected Attribute.

Planona reserves the right, in its sole discretion, to address violations of this policy, including suspending or deactivating accounts or removing users from the platform. Vendors and service providers are expected to maintain an inclusive environment and adhere to the Planona Vendor Pledge. If you experience discrimination from any user, vendor, Planona employee, content provider, or guest, please contact support@planona.com with the subject line “Equal Treatment Policy” so we can investigate and take corrective action.

5. Disclaimers, Liability Limitations, Releases, and Indemnification

5.1 Disclaimers

Except where expressly stated otherwise, Planona provides its website, platform, and services on an “as is” and “as available” basis. Planona does not guarantee the accuracy, completeness, reliability, or suitability of any information, products, or services, and makes no representation regarding merchantability, fitness for a particular purpose, or non-infringement. Use of Planona is at your own risk.

5.2 Limitation of liability

Planona’s vendors, suppliers, and service providers operate independently. Planona is not liable for their acts, errors, omissions, negligence, or misconduct, nor for damages arising from their services or products. Planona and its affiliates, licensors, and service providers disclaim liability for any direct, indirect, incidental, consequential, or punitive damages arising from use of the platform. The maximum aggregate liability of Planona under these Terms is $100 USD, to the extent permitted by law.

5.3 Release

If you have disputes with other users or third parties, including vendors, you release Planona and its affiliates from any claims, damages, or obligations related to those disputes. California residents specifically waive rights under Civil Code Section 1542 concerning unknown claims.

5.4 Indemnification

You agree to defend, indemnify, and hold harmless Planona, its affiliates, and personnel from any claims, losses, or expenses arising from your use of the platform, violation of these Terms, or infringement of third-party rights. Vendors are responsible for their products and services and will indemnify Planona for claims arising from their acts, omissions, or interactions with users. This obligation survives termination of your account or services.

6. Termination

Planona may, at its sole discretion, restrict, suspend, or terminate your access to any or all services, features, or your account at any time, without notice. Reasons may include:

  • Violation of these Terms or applicable laws;
  • Providing inaccurate or incomplete information; or
  • Suspicion of misuse or behavior inconsistent with the intended use of the platform.

Termination does not relieve you of obligations that survive termination, including indemnification and intellectual property rights.

7. Electronic Communications & Text Messages

7.1 Electronic communications

By using Planona, you consent to receive communications electronically. Notices, disclosures, and agreements sent via email or posted on the platform satisfy legal requirements for written communications.

7.2 Text messaging

By providing a mobile number, you consent to receive text messages, including promotional content, operational alerts, and personalized notifications. Standard message and data rates may apply. You can opt out by texting STOP, END, CANCEL, UNSUBSCRIBE, or QUIT. Customer care can be reached by texting HELP.

8. Intellectual Property

8.1 Trademarks

All logos, service marks, and trademarks displayed on Planona are the property of Planona or its third-party owners. Unauthorized use is prohibited.

8.2 Copyright

All content, including text, images, videos, and software, is protected under U.S. and international copyright laws. Reproduction or distribution without permission is strictly prohibited.

8.3 DMCA notices

Planona respects intellectual property rights. Copyright infringement notices should be sent to support@planona.com. Counter-notices may be submitted if material was removed mistakenly. Repeat infringers may have their accounts deactivated.

9. Dispute Resolution, Arbitration, and Class Waiver

9.1 Arbitration agreement

Any dispute arising from your use of Planona must first be addressed through a good-faith informal resolution process. If unresolved, disputes will be exclusively resolved through binding individual arbitration via National Arbitration and Mediation (NAM) or another designated arbitration provider.

9.2 Class action waiver

You and Planona waive rights to participate in class, collective, or representative actions. Arbitration will proceed on an individual basis unless both parties consent otherwise.

9.3 Opt-out

You may opt out of arbitration within 30 days of your first use of Planona by emailing support@planona.com with your request.

9.4 Governing law

These Terms are governed by the laws of the State of Georgia. Jurisdiction for disputes not subject to arbitration resides in Georgia courts.
